Senior M&A and Projects Lawyer (M/F)

The Role
 
Reporting to the M&A Legal Director, you will be responsible for providing legal advice and support for the implementation of M&A projects and complex and strategic partnerships for the Group's international activities.

 

 

Responsibilities


As a true partner of the operational staff in the Group's development projects, you will act mainly as lead counsel.

 

Your main missions and commitments are as follows: 

  • Structuring and setting up of M&A projects, restructuring, sale of companies and/or participations (due diligence, legal structuring of operations, negotiation and drafting of corporate and contractual documentation); 
  • Drafting and negotiation of complex commercial and/or industrial contracts, particularly in the context of international partnerships; 
  • Creation and monitoring of JVs and consortiums in the context of complex partnerships;
  • Participation in cross-functional issues related to the governance of Group companies, the implementation of digital tools and innovation projects, etc; 
  • And more generally, assisting operational teams and management in their decision making by identifying and assessing legal risks and formulating proposals and recommendations.


You will develop a strategic and trustworthy relationship with your main internal clients and various stakeholders in order to deliver legal support and advice adapted to the business. You will be required to work cross-functionally with various experts in the legal function, in all relevant areas in which you will be involved such as corporate law, contract law, financing law, etc.

 


Profile and Qualifications

 

  • Strong academic background in civil and business law in France, ideally complemented by a Common Law degree abroad (L.L.M US/UK);
  • At least 10 years of experience in a large international industrial group with a strong international presence or in a leading business law firm (lawyer or solicitor), with experience in negotiating M&A projects, restructuring projects, significant commercial contracts or major external/internal growth operations;
  • You have a solid experience in corporate law, M&A, JV creation, consortium, private equity;
  • You are fluent in English, both written and spoken, in civil and common law;
  • Reactive, flexible, you are a strong proposer, you propose solutions and carry out projects in an autonomous way that meet both the legislation and the contractual requirements of the Group and its growth areas;
  • Synthetic, conscientious, very rigorous, organized, you have a developed business sense;
  • Sensitive to new technologies, your interpersonal skills (dialogue and negotiation) make you a recognized and legitimate experienced lawyer;
  • Your team spirit, responsiveness, dynamism and adaptability are important assets in the success of the mission within a motivated legal team committed to the Group's growth. You will be able to develop your potential within the Legal Department.
