Tax Manager (M/F)

THE ROLE :

 

Within a Tax department composed of 20 people, you will be in charge of various Tax and M&A matters related to transactions, integrations and global cross-functional projects on a worldwide scope and you will report to the Tax Director M&A/Finance/Network/Real Estate and Projects. In order to carry out your mission, two people will report to you hierarchically and functionally.

 


RESPONSIBILITIES :

 

As Group M&A/Finance Manager you will assist in the execution of M&A and Financing transactions, including:

 

1. Acquisitions/Disposals :

  • Identification and analysis of tax risks during the due diligence phases
  • Evaluation of the impact of risks on the acquisition/disposal price
  • Contractual protection of the Group in the context of guarantees
  • Understanding of tax frictions, opportunities related to the structuring of the acquisition for acquisition and then post-acquisition

 

2. Integrations :

  • Development of close coordination and cohesion with the other "Businesses" within the Group's Tax Department, in particular through assistance in the coordination of an integration committee
  • Assistance in advising and supporting the Corporate Finance, Accounting and Legal departments during M&A projects in the pre- and post-acquisition phases
  • Assistance in advising and supporting members of the Group Tax Department on tax audits during warranty periods

 

3. Internal reorganizations :

  • Evaluation of the various internal reorganization methods: understanding of tax frictions, opportunities
  • Monitoring of the reorganization with the finance and legal teams

 

4. Financing :

  • Assistance in setting up structured asset financing and project financing
  • Review of financing documentation,

 

5. Monitoring :

  • Tax M&A monitoring (legislative changes, case law, best practices on M&A issues)

PROFILE AND QUALIFICATIONS :

 

  • Minimum 8 years of experience in a law firm and/or international company on Tax M&A and Financing matters
  • Tax background
  • Rigor, curiosity, tenacity
  • Ability to lead and interface with other functions
  • Organizational skills, autonomous
  • Ability to analyze and summarize
  • Ability to work in a cross-functional manner, in project mode and as a team
  • Good communicator and good interpersonal skills
  • Very strong ability to adapt in complex matrix organizations
  • French and English imperative
  • Able to travel abroad
