YOUR ROLE

CEVA Logistics is looking for a new Legal Counsel for its Global Head Office in France. Our department is responsible for all corporate legal issues and acts as a business partner for business lines and management in all fields of law. Your expertise will be pivotal in handling legal considerations, offering strategic insights to support our business growth. Your experience in corporate law and your ability to lead with engagement and drive will be essential in moving our organization forward.

WHAT ARE YOU GOING TO DO?

• Corporate law : integration of companies, organization of structure of companies
• (decision making + drafting corporate authorizations - merger, liquidation, intercompany agreements, etc)
• M&A : negotiation, drafting of LOI, Non Binding Offer, Binding Offer, Share Purchase Agreement, Shareholder Agreement
• Finance and intercompany contracts: review, negotiation of Intercompany agreements (finance, loans, etc)
• Monitoring, negotiating corporate guarantees at Group level

WHAT ARE WE LOOKING FOR?

• Master 2 in business law
• Minimum 7 years in private sector as an in-house lawyer or a lawyer
• Corporate law + contract
• French and English language (business and legal)
