Tax Expert M&A (M/F)

YOUR ROLE :

 

Within a Tax Department composed of 15 people, you will be responsible for various Tax and M&A matters related to transactions, integrations, and global cross-functional projects on a worldwide scope. You will report to the Head of M&A Tax and Projects.

 

WHAT ARE YOU GOING TO DO ?

As a Group M&A Tax Specialist, you will assist in executing M&A operations and projects, including:

  1. Acquisitions/Divestitures:

    • Identifying, listing, and analyzing tax risks during Due Diligence phases
    • Assessing the impact of risks on the acquisition/sale price
    • Ensuring the Group’s contractual protections through guarantees
    • Managing tax frictions and identifying opportunities related to acquisition structuring, both at the time of acquisition and post-acquisition
  2. Integrations:

    • Developing close coordination and cohesion with other "functions" within the Group Tax Department, notably by assisting in the facilitation of an integration committee
    • Providing advice and support to the Corporate Finance, Accounting, and Legal departments during M&A projects in pre- and post-acquisition phases
    • Assisting and advising Group Tax Department members on tax audits during guarantee periods
  3. Projects:

    • Contributing to cross-functional projects
  4. Tax Monitoring:

    • Conducting tax monitoring on M&A-related matters (legislative developments, case law, and best practices in M&A tax)

  • Corporate and Country-level Operational and Functional teams
  • External advisors (law firms)

 

WHO ARE WE LOOKING FOR ?

  • At least 5 years of experience in a law firm and/or an international company in Tax M&A matters
  • Background in tax law
  • Rigorous, curious, and tenacious
  • Strong leadership skills and ability to interface with other functions
  • Organized, autonomous, and structured
  • Strong analytical and synthesis skills
  • Ability to work cross-functionally, in project mode, and as part of a team
  • Excellent communication and interpersonal skills
  • Highly adaptable to complex matrix organizations
  • Fluency in both French and English is mandatory
  • Willingness to travel internationally
