YOUR MISSION

You will operate across a broad scope, in France and internationally, supporting the Group's subsidiaries and joint ventures specialized in port handling (CMA Terminals, Terminal Link, United Ports), ship management (CMA Ships, CCISC…), specialized maritime transport (La Méridionale, Néoline…), as well as all the Group's new ventures related to the decarbonization of maritime transport. You will bring your expertise to bear on complex, high-stakes transactions, with strong autonomy and direct exposure to the Group's strategic challenges, within a dynamic and demanding Corporate team.

 

WHAT ARE YOU GOING TO DO? 

  • Provide legal oversight of a portfolio of French and foreign subsidiaries, ensuring the quality and security of their operations in compliance with legal, statutory and extra-statutory obligations.
  • Design and lead intra-group reorganization and legal structuring transactions, in coordination with the finance, tax and operational departments, in France and internationally.
  • Analyze, structure and secure equity transactions and other top-of-the-balance-sheet operations, integrating their legal, financial and tax dimensions.
  • Take part in the Group's external growth, partnership and development transactions, from structuring through to implementation, alongside the M&A teams and local counsel.
  • Advise subsidiaries on the structuring of their governance, in particular authority matrices and delegations of powers.
  • Contribute to the Group's decarbonization projects, notably by structuring and securing investments, partnerships, funds and other vehicles dedicated to the energy transition of the maritime sector.
  • Support internal teams and international subsidiaries in their equity investments and innovative projects related to decarbonization.
  • Advise Group entities on regulatory developments related to decarbonization (carbon tax, CSRD, etc.) and coordinate compliance efforts with the relevant teams and competent authorities.

 

WHO ARE WE LOOKING FOR?

  • You combine high-level legal expertise with a genuine drive to immerse yourself in complex, international and operational matters. 
  • Qualified French lawyer (CAPA) or Master's degree in corporate law / business law.
  • At least six years in corporate law / M&A, gained with an international business law firm and/or within a major international group.
  • Expertise: Excellent command of corporate law and M&A transactions, with solid knowledge of corporate finance and taxation.
  • Legal creativity: A proven ability to design, compare and deploy sophisticated legal structures tailored to complex, strategic transactions — with agility, pragmatism and a keen sense of the business stakes.
  • Languages: Fluent French and English, both written and spoken; Spanish is a plus. You are comfortable working in an international, multicultural environment.
  • Curosity : An appetite for digital tools and artificial intelligence applied to the legal profession.
  • Mindset: Rigor, agility, service orientation, outstanding interpersonal skills and a genuine taste for teamwork.
